1. About these terms

These terms govern your use of getinzio.com and the services offered by Oriard Holdings, LLC, a Texas limited liability company, doing business as Inzio ("Inzio", "we", "us"). By submitting an order or using the site you agree to these terms.

2. What we do

We prepare and submit state filings to form companies, arrange registered agent service, provide compliance reminders, and provide standard document templates completed with the information you give us. We also prepare and file certain changes for existing companies, such as name changes, amendments, changes of registered agent or office, and Certificates of Fact.

3. We are not a law firm

Inzio is not a law firm and does not give legal, tax or accounting advice. Nothing on this site or in our services creates an attorney-client relationship. Governing documents are standard forms completed with your answers. They are not tailored to your situation and are not a substitute for advice. Speak with a licensed attorney or tax professional about your own circumstances, including which type of entity is right for you.

4. Your information and responsibilities

You confirm that the information you give us is accurate and complete, that you are authorized to give it, and that you authorize us to prepare and submit filings for your company. You are responsible for your choice of entity type, company name, managers or directors, and the other decisions reflected in your filing. Keep your contact details current and respond promptly to mail we forward to you.

5. Filings

We submit filings based on what you tell us. The state decides whether to accept a filing. We cannot guarantee that a name is available, that a filing will be approved, or how long the state will take. If a filing is rejected, we will tell you and explain the options under our Refund Policy.

6. Fees and payment

Our fees are shown at checkout. State fees are passed through at cost. Payments are processed by Stripe, and we do not store your card number. Taxes are added where required. The registered agent service renews automatically every year at the then-current price (currently $125) unless you cancel. We charge the card you used at checkout, and we email you about 30 days before each renewal. You can cancel at any time from your account (Manage renewal) before the renewal date.

7. Registered agent service

If you choose our registered agent service, we receive official and legal mail for your company and send it to the contact email you gave us. The service is performed by a third-party Texas registered agent, and its name and Texas address will appear in the public record for your company. We are not responsible for losses that result from out-of-date contact details or from mail you do not act on. If a renewal payment fails, we try again and email you. If we cannot collect payment within 30 days of the first failed attempt, or if you cancel, we may resign as your registered agent by filing a resignation with the Texas Secretary of State and notifying your company as the law requires. After that, your company will have no registered agent until you appoint a new one, and Texas may penalize a company that has none. You can appoint another registered agent at any time, including through our company change services.

8. Public records

Information included in state filings, such as company name, registered agent, and the names and addresses of managers, directors and the organizer, becomes part of the public record.

9. Documents and templates

Templates we provide are licensed to you for use by the company named in your order. You may not resell or redistribute them.

10. Acceptable use

Do not use our services for unlawful purposes, to submit false information, or on behalf of anyone who is prohibited from receiving them. We may decline or cancel an order for these reasons.

11. Disclaimers

To the fullest extent allowed by law, our services, the documents and templates we provide, and this site are provided "as is" and "as available". We make no warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or uninterrupted or error-free operation.

We do not guarantee that a company name is available, that a state agency will accept or approve a filing, or how long an agency will take to act. Filings depend on decisions and systems of government agencies and third parties, such as the Texas Secretary of State, the Texas Comptroller, the Internal Revenue Service, our registered agent, our payment processor, and our email and hosting providers. We are not responsible for their acts, delays, errors or outages.

Inzio is not a law firm and does not give legal, tax or accounting advice. We do not review whether your choice of entity, a filing or a document is right for you. Standard documents and templates are completed with your answers, are not tailored to your situation, and may not meet your needs or the requirements of your banks, investors or other parties. Review everything before you sign or file it, and consult a licensed attorney or tax professional.

We rely on the information you give us and do not verify it. Deadlines, reminders and descriptions of state requirements are provided for convenience only. You remain responsible for meeting your company's legal, tax and reporting obligations, even if you do not receive or act on a reminder.

12. Limit of liability

To the fullest extent allowed by law, Inzio, Oriard Holdings, LLC, and our owners, officers, employees and contractors are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, data or goodwill, arising out of or related to these terms, our services or this site, even if we were told such damages were possible.

To the fullest extent allowed by law, our total liability for all claims arising out of or related to our services or these terms is limited to the service fees you paid us in the 12 months before the claim, for the service that gave rise to it. State fees and other amounts we passed through at cost are not included.

These limits apply to every kind of claim, whatever the legal theory, including claims about filings that are delayed, rejected or not made, the registered agent service, missed deadlines, and documents and templates. They do not exclude liability that the law does not allow to be excluded, and some places do not allow certain limits, so some of them may not apply to you.

13. Ending the relationship

You can stop using our services at any time. We may suspend or end services if you break these terms or do not pay.

14. Governing law

Texas law governs these terms. Disputes will be brought in the state or federal courts located in Travis County, Texas.

15. Changes

We may update these terms. The version on this page applies to new orders from the date shown above.

Privacy Policy

Who we are

Oriard Holdings, LLC, a Texas limited liability company, doing business as Inzio, runs getinzio.com. This policy explains what we collect and how we use it.

What we collect

• Information you give us: your name, email and phone; your company details; and names and addresses of the managers, members, directors, registered agent and organizer you list.
• Payment information: payments are handled by Stripe. We receive confirmation that you paid, not your card number.
• Your account: when you sign in with an email link, we keep a record of the sign-in, and we store the documents we prepare for you so you can download them.
• Technical data: basic information such as IP address and browser type that our hosting provider records when you use the site.

We do not ask for bank account numbers. If you choose EIN assistance, we ask for the responsible party's Social Security number or ITIN in a separate, encrypted step inside your account. We use it only to complete your IRS application and delete it right after. Please do not send it to us by email or through other forms.

How we use it

To prepare and submit your filings, provide registered agent services and compliance reminders, take payment, communicate with you, keep records the law requires, and protect the site from spam and abuse.

Who we share it with

• State agencies, as part of your filing. Filings are public records.
• Our Texas registered agent, when you choose registered agent service.
• Service providers that help us run the business: Cloudflare (hosting, database, document storage and spam protection), Resend (email) and Stripe (payments).
• Professionals you ask us to introduce you to, only if you say yes. We share your name, email, phone number (if provided) and company name.
• Authorities, when the law requires it.

We do not sell your personal information.

Visitors outside the United States

We are based in the United States and process information here. If you use the site from another country, your information is transferred to the United States. Depending on where you live, local law may give you rights over your personal information, such as access, correction or deletion. To make a request, email hello@getinzio.com and we will respond as the law requires.

How long we keep it

We keep information as long as we need it to provide the services and meet legal and recordkeeping requirements. If you start an order and do not finish it, we delete the information after 90 days.

Security

We use reasonable measures to protect your information. No method of transmission or storage is completely secure.

Cookies

We do not use advertising or tracking cookies. When you sign in to your account we set a cookie that keeps you signed in for up to 30 days; the account does not work without it. Cloudflare Turnstile may use technical cookies to protect our forms. We do not use analytics.

Your choices

You can ask us to show you, correct or delete the personal information we hold about you by emailing hello@getinzio.com. We may need to keep some records, and information already in a public state filing is outside our control.

Children

Our services are for adults. We do not knowingly collect information from anyone under 18.

Refund Policy

Before we submit your filing

If you cancel before we submit your filing to the state, we refund everything you paid for that order.

After we submit it

State fees are paid to the state and we cannot get them back. Our service fee is not refundable once the filing has been submitted, except as described below.

If the state rejects the filing

If the rejection is caused by our error, we correct it and resubmit at no charge. If we cannot complete the filing, we refund our fees. If the rejection is caused by information you gave us, we will help you correct and resubmit, and the state fee may be charged again.

If your company name is not available

We ask for a backup name when you order and use it if your first choice is taken. If neither is available, we contact you to choose another name at no charge.

Governing documents

Documents are not refundable once delivered to you.

Registered agent and annual compliance

The registered agent service renews automatically every year. You can cancel the renewal at any time from your account before the renewal date. We do not refund a partial year, and you keep the service through the end of the year you paid for. Annual compliance is bought one year at a time.

Company changes

If you cancel before we submit a change to the state, we refund what you paid for it. After we submit it, state fees cannot be recovered and our fee is not refundable, except if we cannot complete the filing.

How to ask for a refund

Email hello@getinzio.com with your reference number within 30 days of your order. Please contact us before disputing a charge so we can fix the problem.
